PARTIES

This Agreement is made between:

(1) CULINARA [Legal Entity Name] of [registered address] (“Culinara”), operator of the Eko Flavours platform, acting for itself and, where applicable, on behalf of Eko Flavours and its authorised production partners; and

(2) [CONTESTANT FULL NAME], of [address], holder of [identification reference] (the “Contestant”),

each a “Party” and together the “Parties”.

RECITALS

A. As part of the selection process for Eko Flavours Season 3, one hundred (100) shortlisted contestants, including the Contestant, will participate in the Host Like a Chef challenge (the “Challenge”).

B. The Challenge is a shortlisting stage of the Eko Flavours Season 3 competition, the purpose of which is to assess contestants and select the twenty (20) Finalists who will proceed to compete in the main Eko Flavours Season 3 competition.

C. Unlike conventional filmed culinary challenges, the Contestant will independently curate and create their Challenge Submission in a space of their choice, using their own creative approach, personality and culinary identity.

D. Culinara, Eko Flavours and any sponsoring brand may wish to publish, broadcast, distribute, edit, adapt, promote and commercially repurpose the resulting content and recipes, and the Parties wish to record the terms on which this may occur.

NOW THEREFORE, in consideration of the mutual covenants set out below, the Parties agree as follows:

1. DEFINITIONS AND INTERPRETATION

1.1 In this Agreement, the following terms have the meanings set out below, unless the context requires otherwise:

1.2 References to Clauses and Schedules are to clauses of, and schedules to, this Agreement. Headings are for convenience only and do not affect interpretation.

1.3 Words importing the singular include the plural and vice versa, and references to any gender include all genders.

2. PURPOSE OF THE HOST LIKE A CHEF CHALLENGE

2.1 Participation in the Challenge serves two related purposes:

A. Competitive Assessment

The Challenge is an assessment and shortlisting mechanism through which the 100 Contestants will be evaluated for the opportunity to progress to the next stage of Eko Flavours Season 3. Following assessment, twenty (20) Contestants will be selected as Finalists to participate in the main Eko Flavours Season 3 competition.

B. Content Creation

The Challenge also creates original culinary, personality-led and brand-relevant content that may be used by Culinara, Eko Flavours and any Sponsor for programme, promotional, publicity, marketing and commercial purposes.

2.2 Participation in the Challenge does not guarantee selection as one of the twenty (20) Finalists.

3. NO GUARANTEE OF PROGRESSION TO THE FINAL 20

3.1 The Contestant expressly acknowledges that:

100 Contestants are participating in the Host Like a Chef shortlisting challenge;

only 20 Contestants will be selected to proceed to the Eko Flavours Season 3 competition;

participation in the Challenge does not guarantee progression;

selection will be based on the applicable assessment criteria and judging process; and

Culinara and Eko Flavours may determine the Finalists in accordance with the Shortlisting Rules and applicable law.

3.2 Shortlisting. The Contestant acknowledges that the Challenge forms part of the Eko Flavours Season 3 selection process and is intended to assess and shortlist participants for progression to the main competition. A maximum of twenty (20) Contestants will be selected to proceed, based on the applicable competition criteria, judging process and Shortlisting Rules. Culinara and Eko Flavours shall have no obligation to select the Contestant as one of the twenty (20) Finalists by reason of their participation in, or submission to, the Challenge.

3.3 A Contestant who is not selected among the twenty (20) Finalists shall nevertheless remain bound by the content, Recipe and marketing rights granted under this Agreement in respect of their participation.

4. CONTESTANT PARTICIPATION AND SUBMISSION REQUIREMENTS

4.1 The Contestant shall be responsible for the manner in which they prepare, present and communicate their Challenge Submission, subject to the Eko Flavours challenge brief and submission requirements.

4.2 The Contestant may create their Submission from their home, personal kitchen, professional kitchen, restaurant, studio, outdoor location, event space, or any other suitable location approved under the challenge guidelines.

5. CONTESTANT-GENERATED CONTENT

5.1 “Contestant Content” means any material created, recorded, produced, curated, uploaded, submitted or otherwise provided by the Contestant in connection with the Challenge, including without limitation:

Audiovisual Content

Challenge videos, photographs, reels and short-form videos;

behind-the-scenes content, voice recordings, interviews and introductions;

cooking demonstrations, hosting segments, food preparation and plating footage;

location footage and outtakes or additional content voluntarily submitted.

Written Content

Recipes, recipe descriptions, ingredient lists and cooking instructions;

menu descriptions, captions, stories and personal introductions;

culinary concepts and descriptions of the Contestant's cooking philosophy.

Creative Elements

Hosting concepts, presentation styles, menu and plating concepts;

storytelling, culinary narratives, visual concepts and other challenge-related creative ideas.

6. CONTESTANT'S CHOICE OF LOCATION

6.1 The Contestant is permitted to create the Challenge content in their preferred and approved space, rather than in a central Eko Flavours production kitchen.

6.2 The Contestant confirms that: they have permission to record in the chosen location; they have the necessary rights to use the location for the Submission; they will not knowingly infringe the rights of third parties; any identifiable third-party persons appearing in their Submission have provided appropriate consent where required; and they will comply with the Challenge's content, safety and submission guidelines.

6.3 Where the Contestant chooses a commercial establishment or third-party venue, the Contestant shall be responsible for securing any necessary permissions unless otherwise agreed in writing with Eko Flavours.

7. OWNERSHIP OF CONTESTANT-CREATED MATERIAL

A. Original Contestant Content

Where the Contestant independently creates the underlying video, photographs, written material or other creative works, the Contestant may retain ownership of the underlying copyright where legally appropriate. However, the Contestant grants Culinara, Eko Flavours and any Sponsor a sufficiently broad licence to use that material for the purposes described in this Agreement, as set out in Clause 12.

B. Eko Flavours / Culinara Production Materials

Any additional footage, graphics, edits, programme materials or other content subsequently created by Culinara or Eko Flavours, or their appointed production partners, shall remain owned by the relevant rights holder.

C. Sponsor Campaign Content

Where a Sponsor subsequently edits, combines, adapts or incorporates Contestant Content into a campaign, this Agreement provides the Sponsor with the necessary rights to do so, as set out in Clauses 12 and 13.

8. RECIPE RIGHTS

8.1 The Contestant grants Culinara, Eko Flavours and any Sponsor the right to publish, reproduce, communicate, distribute, adapt, format and repurpose Recipes submitted by the Contestant in connection with the Challenge, including the recipe name, ingredient lists, quantities, preparation instructions, cooking methods, plating instructions, serving suggestions, accompanying recipe descriptions, photographs of the dish, video demonstrations of the recipe, and the Contestant's story or commentary associated with the Recipe.

9. RECIPE PUBLICATION RIGHTS

9.1 The rights granted under Clause 8 expressly permit Culinara, Eko Flavours and any Sponsor to publish individual Contestant Recipes through Eko Flavours platforms, Culinara platforms, Sponsor websites, social media, digital publications, recipe collections, cookbooks or digital recipe books, programme-related publications, promotional materials, branded content, press materials, newsletters, educational or culinary content, and advertising campaigns, whether published individually or as part of a larger collection.

10. RECIPE REPURPOSING

10.1 Recipes may be repurposed into different content formats, including recipe cards, Instagram carousels, Reels, TikToks, YouTube videos, branded recipe videos, Sponsor social posts, website articles, recipe booklets, email newsletters, printed publications, digital campaigns and instructional culinary videos.

10.2 Such repurposing does not require the Contestant's additional approval or consent, provided it falls within the purposes agreed under this Agreement.

11. RECIPE OWNERSHIP AND INTELLECTUAL PROPERTY

11.1 A distinction is maintained between the underlying idea or concept of a Recipe and the original creative expression submitted by the Contestant, including written descriptions, photographs, videos and other expressive material.

11.2 Where the Contestant retains ownership of protectable intellectual property in a Recipe, the Contestant grants an appropriately broad non-exclusive, perpetual, worldwide, royalty-free licence including the rights to reproduce, publish, distribute, communicate, display, perform (where applicable), edit, adapt, translate, format, combine with other content, and create derivative content, as set out in Clause 12.

12. GRANT OF RIGHTS; PERPETUAL RIGHTS

12.1 Core Licence. The Contestant hereby grants to Culinara, Eko Flavours, any Sponsor and their respective affiliates, licensees, agencies, production partners, successors and assigns an irrevocable, worldwide, royalty-free, transferable and sublicensable licence, to the fullest extent permitted by applicable law, to use, reproduce, publish, communicate, distribute, display, perform, edit, adapt, translate, reformat, commercialise and otherwise exploit any content, material, Recipe, recipe description, photograph, video, audio recording, statement or other material created, curated, submitted or provided by the Contestant in connection with the Challenge, together with the Contestant's name, image, likeness, voice and biographical information, in whole or in part, in all media and formats now known or subsequently developed, for programme, editorial, publicity, promotional, advertising, marketing, sponsorship, commercial, digital, social media, archival and related purposes, throughout the world and in perpetuity, without further payment, royalty or approval from the Contestant.

12.2 Recipe Rights. Without limiting Clause 12.1, the Contestant grants Culinara, Eko Flavours and any Sponsor a perpetual, worldwide, royalty-free licence, to the fullest extent permitted by applicable law, to publish, reproduce, communicate, distribute, display, adapt, edit, translate, format, incorporate and repurpose any Recipe submitted by the Contestant in connection with the Challenge, including the recipe name, ingredient list, preparation method, cooking instructions, serving instructions, photographs, videos and accompanying descriptions, for programme, editorial, educational, publicity, promotional, advertising, marketing, sponsorship, digital, social media, commercial and archival purposes, without further consent, approval or payment to the Contestant.

12.3 The rights granted under this Clause are intended to apply worldwide, irrevocably, perpetually and in all media and formats now known or subsequently developed, to the fullest extent permitted by applicable law, so that Culinara, Eko Flavours and any Sponsor are not required to obtain renewed consent from the Contestant in order to reuse Contestant Content or a Recipe.

13. SPONSOR MARKETING RIGHTS

13.1 A Sponsor has the express right to use Contestant Content and Recipes for its marketing and promotional activities, including organic and paid social media, digital and television advertising, branded content, influencer amplification, websites, e-commerce, point-of-sale materials, events, activations, public relations, campaign videos, promotional materials, product integration, recipe campaigns, branded recipe content, internal and corporate communications, and campaign case studies.

13.2 A Sponsor is not required to seek individual Contestant permission each time an approved piece of content is reformatted or republished within the scope agreed under this Agreement.

14. NAME, IMAGE, LIKENESS AND VOICE

14.1 The Contestant expressly permits Culinara, Eko Flavours and any Sponsor to use the Contestant's name, image, likeness, voice, photograph, biography, culinary profile, statements, submitted content and performance within the Challenge, for programme, editorial, publicity, promotional, advertising and marketing uses.

15. PAID MEDIA

15.1 The rights granted under this Agreement expressly permit commercial and paid use, including where a Sponsor boosts a Contestant video, uses a Contestant's Recipe in a paid campaign, incorporates Contestant Content into an advertisement, uses the content in sponsored social media, runs digital advertising featuring the Contestant, or uses the content in a branded campaign.

16. EDITING, ADAPTATION AND REPURPOSING

16.1 Culinara, Eko Flavours and any Sponsor may edit, crop, shorten, reformat, subtitle, translate, rearrange, combine, extract from, adapt, add graphics or Sponsor branding to, and create derivative works and short-form versions of, Contestant Content, including extracting still images (for example, transforming a five-minute Contestant submission into a 30-second Sponsor Reel or a series of recipe cards).

16.2 The Contestant acknowledges that they will not have editorial approval over such adaptations, subject to legally protected rights.

17. THIRD-PARTY MATERIALS; MUSIC AND PLATFORM CONTENT

17.1 The Contestant confirms that they have the necessary rights or permissions for any material incorporated into their Submission, including music, photographs, footage, artwork, logos, trademarks, third-party recipes or written material, third-party locations, and identifiable persons, and that they will not knowingly submit material that infringes the intellectual property, privacy, publicity or other rights of a third party.

17.2 The Contestant acknowledges that where content is created using music licensed only for personal or social use, that licence may not extend to Eko Flavours or a Sponsor using the content in paid commercial advertising. The Contestant shall use appropriately licensed material, and Eko Flavours reserves the right to request replacement of unsuitable music. This Clause is intended to protect Culinara, Eko Flavours and any Sponsor against third-party claims.

18. CONTESTANT REPRESENTATIONS AND WARRANTIES

18.1 The Contestant represents and warrants that:

they have the authority to submit the Contestant Content;

the content is substantially their own or appropriately licensed;

they have obtained necessary third-party permissions;

the content does not knowingly infringe third-party rights;

the Recipe submitted is not knowingly copied from a protected third-party work;

they have the right to permit the uses agreed under this Agreement;

their Submission does not breach any other contractual obligation;

they understand that their Submission may be commercially repurposed; and

they understand that participation in the Challenge does not guarantee selection among the twenty (20) Finalists.

19. REWARDS, GIFTS AND OTHER PARTICIPATION BENEFITS

19.1 Participation in the Challenge may, but does not necessarily, attract rewards, gifts or other benefits. Culinara, Eko Flavours and/or a Sponsor may choose to provide Contestants with gifts, sponsor products, branded merchandise, product hampers, vouchers, culinary tools or equipment, other rewards in kind, or recognition or promotional opportunities.

19.2 Unless a specific reward is expressly communicated as guaranteed under the official Shortlisting Rules, participation does not create an automatic entitlement to any cash payment, gift, product, reward or other benefit. Rewards may be offered at the discretion of Culinara, Eko Flavours and/or a Sponsor, may vary between Contestants or categories, and may be subject to eligibility or fulfilment conditions. No Contestant is entitled to demand a reward merely by participating, and the provision of a gift or reward does not alter the rights granted under this Agreement.

19.3 Rewards and Sponsor Gifts. The Contestant acknowledges that Culinara, Eko Flavours and/or the Sponsor may, at their discretion, provide participating Contestants with rewards in kind, sponsor products, gifts, merchandise, vouchers or other benefits in connection with the Challenge. Unless expressly identified as a guaranteed reward under the official Shortlisting Rules, no particular gift, reward, product, payment or other benefit is guaranteed by reason of participation, and the provision of any such gift or reward shall not create an entitlement to future compensation, royalties or additional payment in respect of the Contestant's participation, content, likeness or Recipes.

20. NO ADDITIONAL PAYMENT OR ROYALTIES

20.1 Subject to applicable law, the Contestant acknowledges that their participation and the grant of rights under this Agreement do not create an entitlement to appearance fees, royalties, residual payments, Recipe licensing fees, or additional payments each time content is republished.

20.2 Any gift, reward, sponsor product or other benefit voluntarily provided to the Contestant shall not be interpreted as a royalty, licence fee or continuing compensation for subsequent use of the Contestant's content, likeness or Recipes, unless expressly stated otherwise in writing.

21. NO PRIOR APPROVAL OF MARKETING CONTENT

21.1 The Contestant acknowledges that they will not have a continuing right to approve edits, captions, campaign concepts, recipe layouts, advertisements, social media posts, placement of their content, Sponsor branding, or final programme materials.

21.2 Appropriate legal protections shall nevertheless be maintained against unlawful, defamatory or materially misleading use of the Contestant's content or likeness.

22. WITHDRAWAL AND REVOCATION

22.1 Once the Contestant has submitted content and granted the rights under this Agreement, that grant cannot subsequently be revoked solely because the Contestant was not selected as a Finalist, withdrew from the competition, or changed their mind about participating, subject to rights that cannot lawfully be excluded under applicable law.

22.2 This Clause applies notwithstanding the Contestant's withdrawal from the competition, non-selection among the twenty (20) Finalists, a request for removal of content after publication, or any change of mind regarding participation.

23. SURVIVAL OF RIGHTS

23.1 The rights granted under this Agreement shall survive completion of the Challenge, selection or non-selection as one of the twenty (20) Finalists, elimination, withdrawal, completion of Eko Flavours Season 3, the end of the Season 3 broadcast, the end of a Sponsor's initial campaign, and the expiry of any sponsorship relationship.

23.2 This Clause allows previously created content and Recipes to remain available as part of the Eko Flavours/Culinara content library and for permitted Sponsor use following any of the events listed in Clause 23.1.

24. ARCHIVAL RIGHTS

24.1 Culinara and Eko Flavours retain the right to archive Contestant Submissions and associated materials indefinitely. Archived material may subsequently be used for programme retrospectives, “best of” content, anniversary content, documentaries, historical materials, promotional compilations, educational content, corporate communications and Eko Flavours marketing.

25. DATA PROTECTION

25.1 Culinara and Eko Flavours shall collect and process the Contestant's name, contact information, photographs, videos, voice recordings, biography, Recipe information, social media handles and other information submitted as part of the Challenge in accordance with the Nigeria Data Protection Act 2023 and applicable subsidiary regulations, as further described in the Privacy/Data Protection Notice (Schedule E).

26. MINORS

26.1 Where the Contestant is under eighteen (18) years of age, this Agreement shall additionally be executed by the Contestant's parent or legal guardian in the form set out at Schedule F, covering participation, image and likeness, content, Recipes, marketing, advertising, perpetual use, data processing, applicable intellectual property rights and eligibility for any rewards or gifts.

27. RECOMMENDED RIGHTS MATRIX

27.1 The following matrix summarises, for ease of reference, the principal rights and obligations described in this Agreement. In the event of any conflict between the matrix and the operative Clauses of this Agreement, the operative Clauses shall prevail.

28. TERM

28.1 This Agreement commences on the date of execution and continues in perpetuity in respect of the rights granted under Clauses 8 to 17, save that the Contestant's obligation to actively participate in Challenge activities ends upon completion of the Challenge and, where applicable, non-selection as a Finalist.

29. RELATIONSHIP OF THE PARTIES

29.1 Nothing in this Agreement shall be construed as creating an employment, partnership, agency or joint-venture relationship between the Contestant and Culinara or Eko Flavours.

30. INTELLECTUAL PROPERTY OWNERSHIP — GENERAL PRINCIPLE

30.1 For the avoidance of doubt, nothing in this Agreement shall be construed as representing that Culinara, Eko Flavours or any Sponsor automatically owns every Recipe or every piece of content created by a Contestant. Counsel shall determine the appropriate ownership position and, where necessary, secure a sufficiently broad exclusive or non-exclusive, perpetual, worldwide, royalty-free licence to achieve the intended commercial outcome, recognising that the legal treatment of recipes, ideas, written expression, photographs, video and other creative works may differ under applicable law.

31. ASSIGNMENT

31.1 Culinara may assign or sublicense its rights under this Agreement to its affiliates, successors, assigns and authorised production partners or Sponsors. The Contestant may not assign any rights or obligations under this Agreement without Culinara's prior written consent.

32. SEVERABILITY

32.1 If any provision of this Agreement is held invalid or unenforceable under applicable Nigerian law, the remaining provisions shall continue in full force and effect, and the Parties shall negotiate in good faith to replace the invalid provision with a valid provision of similar commercial effect.

33. GOVERNING LAW AND DISPUTE RESOLUTION

33.1 This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

33.2 Any dispute arising out of or in connection with this Agreement shall first be referred to good-faith negotiation between the Parties and, failing resolution within [___] days, shall be referred to [arbitration in Lagos, Nigeria in accordance with the Arbitration and Mediation Act 2023 / the exclusive jurisdiction of the courts of Lagos State], as counsel shall determine.

34. ENTIRE AGREEMENT AND NOTICES

34.1 This Agreement, together with the Shortlisting Rules and the Schedules referenced herein, constitutes the entire agreement between the Parties in respect of its subject matter and supersedes all prior discussions, understandings and agreements, whether oral or written.

34.2 Notices under this Agreement shall be given in writing to the addresses (including electronic addresses) notified by each Party from time to time.
